Legal Opinion — Enforceability of the
Master Services Agreement

To the Board of Directors, Northwind Co-operative

We have acted as counsel to Northwind Co-operative (the “Co-operative”) in connection with the Master Services Agreement dated March 31, 2026 between the Co-operative and its managed-infrastructure supplier (the “Agreement”). You have asked for our opinion as to the validity and enforceability of the Agreement under the laws of the Province of Ontario.

Scope of review

For the purposes of this opinion we have examined an executed copy of the Agreement, the constating documents of the Co-operative, and a certified copy of the resolution of the board authorising its execution. We have assumed the genuineness of all signatures and the authority of each counterparty, other than the Co-operative, to enter into the Agreement.

Opinion

Based upon and subject to the foregoing, and to the qualifications set out below, we are of the opinion that the Agreement has been duly authorised, executed, and delivered by the Co-operative, and constitutes a legal, valid, and binding obligation of the Co-operative, enforceable against it in accordance with its terms.

Qualifications

This opinion is subject to applicable bankruptcy, insolvency, and other laws of general application affecting the enforcement of creditors’ rights, and to the discretion of a court in granting equitable remedies. It is limited to the laws of Ontario and the federal laws of Canada applicable therein, and is given as of the date first written above.
