Platform services engagement — Northwind Co-operative

This Professional Services Agreement (the "Agreement") is entered into between Rideau Health Alliance (the "Client") and Northwind Co-operative (the "Provider"), effective as of the date of signature below.

1. Scope of services

The Provider will design, host, and operate a member identity and document-verification platform for the Client, including onboarding of up to five hundred staff accounts and the migration of existing records, as set out in the attached Statement of Work.

2. Compensation

In full consideration of the services described above, the Client shall pay the Provider the total fixed contract value set out below, invoiced in equal monthly instalments over the term.

Total contract value $50,000.00 CAD Fifty thousand Canadian dollars

3. Term

The initial term of this Agreement is twelve (12) months from the effective date, renewable by mutual written agreement. Either party may terminate for material breach on thirty (30) days' written notice.

4. Signature

Executed on behalf of the Provider and cryptographically signed with the decentralized identifier did:web:jacqueslatour.ca. The signature covers the entire contents of this document; any later change to the text — including the contract value above — invalidates it.
